Zusammenfassung

Obwohl Pfandrechte an GmbH-Anteilen als Kreditsicherheit bei Unternehmensfinanzierungen seit Jahren zum Standard gehören, bildet die Verwertung von GmbH-Anteilen in der Praxis nach wie vor die Ausnahme. Dabei bietet die Verwertung von Anteilspfandrechten eine praktikable und – bei entsprechender Vorbereitung – verlässliche Möglichkeit für besicherte Gläubiger, ihre Forderungen außerhalb eines Insolvenz-(plan-)verfahrens in Unternehmensbeteiligungen des Kreditnehmers umzuwandeln. Der Beitrag stellt die wesentlichen Schritte der Pfandrechtsverwertung dar und setzt sich mit den wesentlichen Fragen der Verwertung von Pfandrechten an GmbH-Anteilen auseinander.
