Unidroit Principles of International Commercial Contract as the Rules of Law Governing Cross Border Contracts

International Commercial Contracts between private international parties often face with difficulties in choosing the governing law to govern their contracts. It is the main aim of this article to critically address the vital legal issues relating to the governing law for cross border transactions. From the study on the relevant International Treaties and Conventions, it is found that the UNIDROIT Principles of International Commercial Contracts (“PICC”) may be adopted as the appropriate rules of law governing cross border contracts. Therefore this Article focusses on why PICC can be adopted as the governing law for international commercial contracts between private international parties.
