This book investigates the institutional characteristics of state-linked firms in Vietnam to draw lessons for investors/MNCs targeting Vietnam and other emerging markets in the region. Vietnam and many other ASEAN countries have gone through a period of privatization and equitization of wholly controlled SOEs, with the State retaining partial ownership in many privatized businesses. This book explains the dynamic relationships between the State, BODs, shareholders, and regulators and their influence on corporate governance and SOE performance. This book differs from other publications in that it extrapolates the findings from our study to a broader context on how the defined internal mechanisms implicate the local economy and global supply chains/markets.

This book investigates robust theoretical foundations, and rigorous applied empirical research underpin the role of the State in SOEs. It differs from other studies in terms of qualitative and empirical research to provide the contextual setting to elucidate how to successfully navigate emerging market business with the State as an "owner-participant." This book explains the theoretical constructs of corporate governance in SOEs, applies empirical research methodologies, and draws results to validate inferences to (1) investigate the link between the board of directors and ownership attributes and agency cost levels using Vietnamese listed firms for the period from 2006 to 2013, (2) evaluate the effectiveness of State's corporate initiatives and monitoring through its sovereign wealth fund known as the State Capital Investment Corporation (SCIC), and (3) infer and explain the motivation of the State as a shareholder.

This book takes cognizance of Vietnam's idiosyncratic institutional (using its sovereign wealth fund as an investment vehicle and management proxy), economic, regulatory, and corporate environments and the realities for developing an effective and sustainable business model, vis-à-vis the ownership structure, board of directors' composition and corporate governance, for better business performance. While the focus is on Vietnam, the content is also relevant to the role of the State in other emerging markets as a player in shaping the business strategy, model, and direction of SOEs.

Abstract
This chapter aims to provide an overview and insight into the concepts, aspects, and issues of corporate governance in general and the internal mechanisms of the board of directors and ownership structure in particular. It begins by discussing the concept throughout the historical development of the theory of the firm and postulates different approaches to corporate governance. It is then followed by how the concept of corporate governance has emerged and how governance mechanisms have been used as ways to solve agency problems.

Chapter 4. Vietnam’s Corporate Governance, Regulatory and Institutional Settings
Abstract
This chapter provides an overview of the Vietnamese corporate governance framework. Section 4.2 will begin with a short description of the concept of corporate governance and its key features in Vietnam. Section 4.3 discusses the legal and regulatory framework and corporate governance best practices. Section 4.4 demonstrates the general governance of the structure of a shareholding company with insights into the Board of Directors, Board of Supervisors, and committees. Section 4.5 includes a preliminary evaluation of the corporate governance system in Vietnam in terms of the internal governance attributes. Details on ownership attributes of the Vietnamese corporations are presented in Sect. 4.6. Lastly, Sect. 4.7 summarises the key points of this Chapter.

Chapter 5. The Effect of Board of Directors, Chairman, and Ownership Attributes on the Agency Cost: Empirical Evidence
Abstract
This chapter empirically investigates the relationship between agency cost levels and the board of directors, chairman, and ownership structure attributes for 617 non-financial firms listed on the Ho Chi Minh Stock Exchange (HOSE) and Hanoi Stock Exchange (HNX) of Vietnam for the period from 2006 to 2013. While there is extensive literature examining the role and contribution of the board of directors and ownership in other markets such as the US, the UK, China, etc., there has been limited analysis in Vietnam, where the ownership structure is characterised not only by the dominance of the government but also by a mixture of various shareholder types. The primary contribution of this chapter is to examine a model of the expected relationship between firm-level agency costs and several distinguishable boards, chairman, and ownership structure characteristics of the Vietnamese firms to empirically test whether these variables are statistically associated with the agency cost levels of firms.

Abstract
The study of state ownership and its impact on firm performance has had inconclusive findings and, therefore, remains a matter of much debate in the finance literature (Ang and Ding, Journal of Multinational Financial Management 16:64–88, 2006). As discussed in the literature review chapter, while much literature has been published on state ownership, there still needs to have a more scientific understanding of the impact of the actions of the government toward its linked firms.

Abstract
The launch of the economic reforms known as Doi Moi over more than thirty years has made Vietnam a hallmark for development success with remarkable poverty reduction and economic growth. Between 2002 and 2021, GDP per capita increased 3.6 times, reaching almost US$3,700. Vietnam has grown bolder in its development aspirations, aiming to become a high-income country by 2045. Vietnam has also been named among the Next Eleven and CIVETS countries.

Chapter 8. An Effective Business Model and Concluding Thoughts
Abstract
Most of the extant empirical evidence on governance mechanisms examines developed markets. This study undertakes an exhaustive review of corporate governance in Vietnam, which is characterised by peculiar agency problems and builds upon the available empirical evidence to provide an insightful analysis of the internal governance mechanisms for Vietnam's listed firms.
