What do crowdfunding platforms do? A comparison between investment-based platforms in Europe

Abstract

Despite the growing popularity of investment-based crowdfunding, we know little about what platforms do before the campaign. This is among the first studies to provide cross-platform evidence on investment-based crowdfunding. First, we describe the regulation and development over time of investment-based crowdfunding markets in France, Italy, Germany, and the UK. Second, using a sample of 127 platforms in these countries, we document which services are offered to proponents before, during, and after the campaigns. Finally, our econometric analysis shows that a higher number of post-campaign services offered by the platforms increase the annual number of successful campaigns. Services offered before and during campaigns do not attract more campaigns to the platforms.

Subordinated profit-participating loans are defined as “loans investments for which the interest rate depends on profits or revenue of the borrower, which give the lender no rights in management of the borrower, through which the lender has no exposure to losses of the borrower and which rank below other debts in an insolvency proceeding” (Klöhn et al. 2016b).

German contracts do not provide any voting rights to investors; only a few platforms such as Companisto include vote pooling for investors concerning certain decisions. Contracts may provide different rights and responsibilities, such as participation rights and investor loss sharing based on a subordination agreement, rules about further financing rounds on investments (dilution of participation rights), restrictions on investment transferability, and rules about contract termination (Klöhn et al. 2016a).
